1. Introduction and Acceptance
1.1 Who we are. Global ICT Connections Ltd ("GICT", "we", "us", "our") operates a B2B online platform that helps vetted businesses discover, list, market, buy, and sell ICT equipment and related services.
1.2 What this agreement covers. These Terms and Conditions ("Terms") govern your access to and use of our platform, websites, applications, tools, and related services (collectively, the "Platform"). By registering an account, accessing, or using the Platform, you agree to be bound by these Terms.
1.3 Business use only. The Platform is provided exclusively for business use by companies and professionals acting in the course of business. It is not intended for consumers.
1.4 Updates to these Terms. We may amend these Terms to reflect new features, legal requirements, or improvements. Where changes are material, we will notify registered users in advance; your continued use after the effective date constitutes acceptance of the revised Terms.
1.5 Related policies. These Terms incorporate by reference our Trade Safe Code, Complaints Policy, and Privacy Policy, as updated from time to time. Where there is a conflict, these Terms take precedence unless a policy expressly states otherwise.
1.6 Effective date. These Terms take effect when you accept them during sign-up or when you first use the Platform, whichever occurs earlier.
2. Definitions
Definitions used throughout these Terms:
- "Advertising Party" means a Member that uploads or lists products, stock, or services on the Platform.
- "Broadcast" means a message or listing distributed via GICT tools to targeted categories or audiences for WTB/WTS communications.
- "Content" means text, images, data, listings, inventory, pricing, brand assets, or other materials submitted, posted, or otherwise made available by a User on the Platform.
- "Member" or "User" means any business entity or professional registered on the Platform.
- "Services" means the features GICT provides to facilitate discovery, marketing, broadcasting, and transactions between Users, including support and verification services.
- "Trade Safe Code" means the GICT code of conduct and complaint prerequisites that govern safe trading and dispute intake.
3. Our Role and Your Responsibilities
3.1 Intermediary only. GICT operates the Platform as a marketplace intermediary and facilitator. We are not a party to any sales contract concluded between Users, and we do not own, possess, or control the goods listed by Users.
3.2 No warranty on user goods or conduct. While we maintain verification and vetting processes to enhance trust and safety, we cannot and do not guarantee the identity, reliability, financial standing, legality, quality, availability, conformity, delivery, or performance of any User, product, or service.
3.3 Your obligations. You are solely responsible for:
- ensuring that your listings and communications are accurate, lawful, and up to date;
- maintaining valid title and immediate availability for any item you list as in stock;
- complying with applicable laws, sanctions, and export controls in all relevant jurisdictions;
- safeguarding your credentials and access;
- conducting appropriate due diligence on counterparties before sending funds or releasing goods.
3.4 Platform changes and availability. We may modify, suspend, or discontinue any feature or category, conduct scheduled maintenance, or implement technical updates. We will provide reasonable prior notice for scheduled work where practicable.
4. Eligibility, Verification, and KYC
4.1 Business use only. Only legally registered businesses or professionals acting in the course of business are eligible to use the Platform.
4.2 Verification and documentation. GICT may require documents including, but not limited to, company registration, VAT or tax ID, trade history, and proof of identity or authority. You agree to provide accurate, current, and complete information for verification.
4.3 Right to refuse or revoke access. We may decline or suspend access if a User provides incomplete, false, unverifiable, or high-risk information, or fails our due diligence checks.
4.4 Trade references. If initial verification is insufficient, including uncertainty about trading history, we may request at least four verifiable trade references including company name, contact name, and email or phone.
4.5 Ongoing KYC monitoring. You acknowledge that GICT may conduct periodic reviews and request updated documentation to ensure continued compliance with legal, security, or platform requirements.
5. Accounts, Access, and Security
5.1 Account ownership. Each account is issued to a specific legal entity and must not be shared or transferred without our prior written consent.
5.2 Login security. You are responsible for safeguarding all login credentials and ensuring they are only used by authorised employees. GICT is not liable for unauthorized access arising from your failure to secure your account.
5.3 Account misuse reporting. You must immediately notify GICT if you suspect unauthorised access, abnormal account activity, or compromised account details. We may temporarily suspend activity to protect the account.
5.4 Multiple accounts. Users may not create multiple accounts for the same legal entity without explicit approval. Any misuse, including operating under false information or duplicate accounts, may lead to suspension or termination.
6. Membership, Subscriptions, Trials, and Billing
6.1 Membership structure. Access to platform features is provided through paid subscriptions or approved trial access. Features available to you depend on your active plan level.
6.2 Free trial eligibility. Free trial access is offered strictly by limited slot availability and only to approved companies located in the EU, United States, Canada, and Australia, with a proven trading history of more than 7 years. Companies outside these regions or below this threshold are not eligible for a free trial.
6.3 Trial access and waiting list. Trials operate on a one in, one out slot system. If all slots are currently occupied, you may be added to a waiting list. If you are in a rush and your company has already been approved, you may immediately join on a paid membership instead of waiting for a free trial slot.
6.4 Trial conversion. At the end of a free trial period, access will not automatically convert to a paid membership. If you wish to continue using the Platform, you must manually activate a paid plan.
6.5 Renewal. Paid memberships automatically renew at the end of each billing cycle unless cancelled prior to renewal.
6.6 Billing terms. Subscription fees are invoiced based on the plan selected and are payable in advance. All invoices are due within 3 calendar days of issue unless otherwise stated. Once billed, subscription fees are non-refundable, except where required by law.
6.7 Late payment. Failure to pay on time may result in restricted access or suspension and or termination of account.
6.8 Price changes. GICT may adjust membership pricing with or without prior notice. Continued use after the effective date constitutes acceptance of the new pricing.
7. Inventory, Listings, and Broadcast Rules
7.1 Inventory accuracy. All items listed or advertised must be physically in your own stock and immediately available for sale or dispatch. Listing products owned by or sourced from third parties without possession is strictly prohibited.
7.2 Inventory updates. Advertising Parties must update inventory listings at least once every 2 weeks. Repetitive outdated or misleading listings may be removed without prior notice.
7.3 Broadcast usage. Broadcast tools are strictly for legitimate WTB (Want to Buy) and WTS (Want to Sell) activity related to ICT equipment and services only. No greetings or unrelated communications. Broadcasts must be sent only to the relevant category list. GICT may delete or promote broadcasts on the Platform or GICT social channels at its discretion.
7.4 Username and access confidentiality. Login credentials must not be shared or exposed to non-authorised users or third parties. Shared or leaked access may result in immediate suspension.
7.5 Content standards. All listings, stock data, and broadcast messages must be accurate, legal, non-misleading, and professionally presented. You are fully responsible for any consequences arising from your shared content.
8. Prohibited Conduct and Enforcement
8.1 Prohibited actions include, but are not limited to:
- listing goods you do not physically own or possess;
- using fake, proxy, or throwaway email addresses;
- duplicate or misleading inventory listings;
- acting as an unapproved broker for third parties;
- uploading illegal, defamatory, infringing, or otherwise unlawful content;
- attempting to scrape, reverse-engineer, attack, or exploit any part of the Platform.
8.2 Suspension and termination. GICT reserves the right to suspend, restrict, or permanently terminate access at its sole discretion, particularly where user conduct threatens trust, security, or Platform integrity.
8.3 No refund on termination. Membership fees remain due and are not refundable if access is removed due to breach of these Terms or failure to comply with verification or payment requirements.
8.4 Reporting misconduct. Users are encouraged to report fraudulent or suspicious behaviour immediately. GICT may investigate the matter but does not guarantee action or outcome.
9. Liability, Risk, and Indemnity
9.1 Marketplace intermediary only. GICT is not a contracting party to any transaction between Users. All contracts, risks, and responsibilities exist solely between the buying and selling parties.
9.2 No liability for transactions. GICT is not liable for any financial, operational, or reputational losses arising from user-to-user dealings, including non-delivery, quality disputes, fraud, misrepresentation, or payment conflicts.
9.3 Indemnity. You agree to indemnify and hold harmless GICT, its directors, and staff from any claims, damages, legal costs, or losses arising from your use of the Platform, your content, or your transactions with other Users.
9.4 Platform availability disclaimer. While GICT attempts to provide uninterrupted access, we do not guarantee that the Platform will be error-free, uninterrupted, or immune to cyberattacks, delays, or force majeure events.
10. Mediation, Complaints, and Dispute Handling
10.1 Internal mediation first (mandatory). In the event of a dispute between Members, GICT may, at its discretion and subject to eligibility, facilitate internal mediation between the involved parties. Mediation is provided strictly as an assistance tool and does not imply liability or responsibility for outcome.
10.2 Complaint filing requirements. Any formal complaint must be submitted through the designated complaint form and must include clear documentation, including Purchase Order and Invoice, a clear description of the issue, and the stated product grade and specification where relevant. Complaints missing required information will not be processed.
10.3 Complaints GICT may refuse. GICT will not mediate complaints involving C-grade or D-grade equipment, transactions below €2,000, goods sold "as is", or software-only transactions.
10.4 Non-binding mediation. GICT's mediation, if offered, is non-binding. The outcome is not enforceable by GICT. Users remain solely responsible for the final resolution of disputes.
11. Intellectual Property and Content Rights
11.1 Ownership of GICT platform. All rights, title, and intellectual property in and to the Platform, including its software, branding, design, systems, and content (excluding User-submitted content), belong exclusively to Global ICT Connections Ltd.
11.2 User content. You retain ownership of all content you upload. By posting content, you grant GICT a worldwide, non-exclusive, transferable, sublicensable licence to use it solely for operating, promoting, and improving the Platform.
11.3 Logos and brand usage. By registering, you grant GICT permission to display your company name and logo on designated areas of the Platform, newsletters, and promotional listings for member discovery and platform credibility purposes.
11.4 Prohibited use. No part of the Platform, including design, data, software, or branding, may be copied, modified, reverse-engineered, sublicensed, or distributed without our prior written consent.
12. Governing Law and Final Provisions
12.1 Governing law. These Terms are governed by and shall be interpreted exclusively in accordance with the laws of England and Wales.
12.2 Mediation and arbitration first. Before any legal proceedings are initiated, the parties must first attempt to resolve the matter through good-faith mediation or arbitration, either facilitated by GICT or an agreed independent professional.
12.3 Jurisdiction. If legal action is ultimately required, the courts of England and Wales shall have exclusive jurisdiction.
12.4 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.5 Entire agreement. These Terms, together with referenced policies, constitute the entire agreement between you and GICT and supersede all prior understandings or communications.
